Terms and conditions

Article 1 - Definitions

In these general terms and conditions, the following definitions apply:

1. Reflection period: the period within which the consumer can make use of his right of withdrawal;

2. Consumer: the natural person who does not act in the exercise of a profession or business and who enters into a Distance Agreement with Mothership Holding B.V.

3. Day: a calendar day.

4. Right of withdrawal: the option included in Article 6 for the Consumer to waive the Agreement within the cooling-off period of 14 days.

5. Sapph: the legal entity Mothership Holding B.V. that offers products to consumers remotely via the Website;

6. Agreement: the agreement concluded between Sapph and the Consumer via the Website.

7. Website/Webshop: the website www.Sapph.com.

Article 2 - Identity of the entrepreneur

In these general terms and conditions, this entrepreneur is referred to as 'Sapph'.

Article 3 - Applicability

1. These Conditions form part of every offer from Sapph and apply to every Agreement concluded between Sapph and the Consumer.

2. Sapph reserves the right to unilaterally change these general terms and conditions. The most recent version of these Conditions will always be available via the Webshop. The version of the general terms and conditions that applies to an order is the version that can be found on the Website at the time the order is placed by the Consumer.

 

Article 4 - The offer

1. The products offered in the Webshop constitute an offer to the Consumer based on the information provided in the Webshop.

2. If an offer has a limited period of validity or is subject to conditions, this will be expressly stated in the offer.

3. The offer contains as complete and accurate a description as possible of the products offered to enable a proper assessment of the offer by the Consumer. If Sapph uses visual material, this is a true representation of the products offered. However, Sapph cannot guarantee that the colour(s) of products as shown on the Webshop exactly match the actual colour(s) of the products. How colour is displayed depends on the settings of your computer.

4. Obvious mistakes or errors in the offer do not bind Sapph.

Article 5 - The agreement

1. The Agreement is concluded, subject to the provisions of paragraph 4 of this article, at the moment of acceptance by the Consumer of the offer and compliance with the corresponding conditions.

2. If the Consumer has accepted the offer electronically, Sapph will immediately confirm receipt of the acceptance of the offer electronically.

3. If the Agreement is concluded electronically, Sapph will take appropriate technical and organisational measures to secure the electronic transfer of data and will ensure a secure web environment. If the Consumer can pay electronically, Sapph will take appropriate security measures.

4. Sapph can - within the legal framework - inform itself whether the Consumer can meet his payment obligations, as well as all those facts and factors that are important for a responsible conclusion of the Agreement. If, on the basis of this investigation, Sapph has good reasons not to enter into the Agreement, it is entitled to refuse an order or request, stating reasons, or to attach special conditions to the implementation.

Article 6 - Right of withdrawal

1. When purchasing products, the Consumer has the option to cancel the agreement without giving reasons (the right of withdrawal) during 14 days. This period starts on the day after receipt of the product by the consumer or a third party designated in advance by the consumer, not being the carrier, or on the day after the day on which the consumer or a third party designated in advance by the consumer has not being the carrier, has received the last item, if the Consumer has ordered several items in the same order that are delivered separately.

2. If the Consumer wishes to make use of his right of withdrawal, he must notify Sapph of this within the cooling-off period referred to in paragraph 1 of this article. To this end, the Consumer can use the enclosed return form and return this return form together with the unwanted products to Sapph within 14 days after the day of receipt of the entire order. The Consumer can also inform Sapph in any other way within the period referred to in paragraph 1 of this article that he wishes to make use of his right of withdrawal, for example by means of the model withdrawal form (see Annex 1) or in another unambiguous manner (for example by post or email).

3. The Consumer must return the products to Sapph as soon as possible and no later than 14 days after the notification referred to in paragraph 2, accompanied by the completed return form.

4. Sapph does not offer the Consumer the option of exchanging or returning the products ordered in the Webshop to a Sapph store.

5. During the period referred to in paragraph 1 of this article, the Consumer will handle the products and the packaging with care. He will only unpack or use the products to the extent that this is reasonably necessary to assess whether he wishes to keep the products. The starting point here is that the consumer may only use and inspect the product as he would in a shop.

6. The Consumer is only liable for depreciation of the product that is the result of a way of handling the product that goes beyond what is permitted under paragraph 5.

Article 7 - Costs in case of withdrawal

1. If the Consumer makes use of his right of withdrawal, part of the costs of returning the goods to Sapph will be for his account. The Consumer bears no costs for return shipment if he returns the products via a carrier designated by Sapph. If the Consumer returns the products in another way, he shall bear the cost of this alternative return shipment.

2. If the Consumer has already paid the purchase price for the product, Sapph will refund all payments received from the consumer (minus the contribution to the return shipment as referred to in paragraph 1 of this article) no later than 14 days after the day of receipt of the declaration of withdrawal. determined), including the shipping costs. However, if the Consumer wishes to keep certain products and therefore only return part of the order using the right of withdrawal, the shipping costs will not be reimbursed.

3. Sapph uses the same means of payment for reimbursement that the Consumer used for his order, unless the Consumer agrees to another method. This refund is always free of charge.

4. Unless Sapph offers to collect the product itself, Sapph may wait with paying back until it has received the product or until the Consumer demonstrates that he/she has returned the product, whereby the first time will always apply.

Article 8 - The price

 1. During the period of validity stated in the offer, the prices of the products offered by Sapph will not be increased, except for price changes as a result of changes in VAT rates.

2. The prices stated in the range of products include VAT.

Article 9 - Conformity and warranty

1. If a product does not comply with the agreement, the Consumer will be refunded the purchase price (including any shipping costs if it concerns the entire order) and any return costs. The Consumer must make this known as soon as possible via the enclosed return slip or via customer service. If the product is still available, the Consumer can, with the help of Customer Service, also choose to receive a replacement product without being charged for shipping costs.

2. An arrangement offered as a guarantee by Sapph, its manufacturer or its importer does not affect the rights and claims that the Consumer can enforce against Sapph on the basis of the law or the Agreement.

3. However, Sapph does not guarantee defects that have arisen after the delivery of the products as a result of improper use or lack of care, or that are the result of changes that the Consumer or a third party has made to the delivered goods. Nor does Sapph guarantee any damage that may arise as a result of these defects.

Article 10 - Delivery and performance

1. Sapph will take the greatest possible care when receiving and executing orders for the products.

2. The place of delivery is the address that the Consumer has made known to Sapph.

3. With due observance of what is stated in article 4 of these Conditions, Sapph will make every effort to deliver accepted orders within 2 working days, unless a different delivery period is communicated with an article. If an order cannot or only partially be executed, the Consumer will be notified of this no later than 14 days after he has placed the order. In that case, the Consumer is in any case entitled to terminate the Agreement free of charge for the part that cannot be performed.

4. In the event of dissolution in accordance with the previous paragraph, Sapph will in any case be obliged to refund the amount paid by the Consumer as soon as possible, but no later than 14 days after dissolution.

5. If delivery of an ordered product proves to be impossible, Sapph will only be obliged to deduct or refund the costs of the relevant product from the total costs.

6. The risk of damage and/or loss of products rests with Sapph until the moment of delivery to the Consumer, unless expressly agreed otherwise. In the event that the Consumer designates a carrier and the choice of this carrier is not offered by Sapph, the risk of damage and/or loss of products transfers to the Consumer at the time of receipt of the products by this carrier.

Article 11 - Payment

1. The Consumer must make payments to Sapph in accordance with the methods specified in the ordering procedure on the Webshop.

2. Sapph reserves the right to only accept certain types of payment, or to refuse a transaction, if address or credit checks have failed.

3. Any amounts owed by the Consumer after the delivery of the products must be paid by the Consumer within 14 days after the start of the cooling-off period as referred to in Article 6 paragraph 1, or in the absence of a cooling-off period within 14 days. days after the conclusion of the Agreement.

4. The Consumer is obliged to immediately report any inaccuracies in payment details provided or stated to Sapph.

5. In the event of non-payment by the Consumer (for example as a result of a reversal or other payment problems), Sapph has the right, subject to legal restrictions, to charge reasonable administration costs.

Article 12 - Payment

1. If a part of these general terms and conditions is declared invalid or null and void, this will not affect the validity of the other parts of the general terms and conditions and these other parts will therefore remain in full force.

2. Individual deviations, including additions or extensions to these Conditions, must be recorded in writing between Sapph and the Consumer.

3. For promotional codes, only the use of one promotion per person, per order is permitted, unless stated otherwise. Vouchers and gift cards cannot be purchased at a discount. It is not allowed to use multiple promotional codes in combination.

Article 13 - Disputes

1. The Agreement is governed by Dutch law.

2. All disputes arising from the Agreement can only be submitted to the competent court in Utrecht.
